# Service Agreement
**Effective Date: May 1, 2025**

This Service Agreement forms a legally enforceable contract between you ("User" or "Client") and Uranus DEX Trading Platform ("Uranus DEX", "our", "we" or "us"). This Agreement governs your access to the Uranus DEX Services available through the Portal or by other means.

By entering the Uranus DEX Portal and/or utilizing the Uranus DEX Services, you confirm that you have reviewed, comprehended and accepted this Agreement. You acknowledge and agree to be bound by and comply with this Agreement, which may be updated and amended periodically.

If you do not comprehend and accept this Agreement completely, you should refrain from accessing the Uranus DEX Portal.

## INVESTMENT CAUTION
Tokenized Asset values can fluctuate substantially, creating significant potential for financial losses when purchasing, selling, holding or investing in Tokenized Assets. You should therefore evaluate whether trading or holding Tokenized Assets is appropriate for your circumstances, financial position and risk tolerance.

Please thoroughly understand the risks involved before accessing the Uranus DEX Portal and Uranus DEX Services.

You recognize that we are not functioning as your financial representative, intermediary, agent or counselor and we have no trust-based relationship or obligation to you regarding any activities undertaken when using the Uranus DEX Portal. We do not provide investment advice and no communication or information we provide should be interpreted as guidance of any kind.

You bear responsibility for determining the suitability of any investment, strategy or related transaction based on your personal investment objectives, financial situation and risk tolerance, and you accept responsibility for any resulting losses or liabilities. We do not endorse the purchase, acquisition, sale or retention of any Tokenized Asset. Before deciding to buy, sell or hold any Tokenized Asset, conduct thorough research and consult financial professionals. We are not liable for decisions you make regarding Tokenized Assets based on information or services we provide, including any resulting financial losses.

## 1. Preliminaries
1.1. Uranus DEX operates a decentralized trading portal designed to enable the exchange of Tokenized Assets on the Solana distributed ledger.

1.2. By accessing the Uranus DEX Portal, you enter into a legally binding contract with us. This Agreement will regulate your use of the Uranus DEX Portal.

1.3. You must thoroughly review this Agreement and notify us of any provisions you do not understand.

## 2. Qualification Requirements
2.1. To qualify for using the Uranus DEX Portal, you must:

a. be an individual, business entity, legal person, or organization with full authority and capacity to (i) access and use the Uranus DEX Portal; and (ii) enter into and fulfill your obligations under this Agreement;
b. if acting as an employee or representative of a legal entity and entering this Agreement on their behalf, possess proper authorization to act for and bind such entity for purposes of entering this Agreement;
c. not be situated, registered, otherwise established in, resident of, or conducting operations in any jurisdiction where accessing or using the Uranus DEX Portal would violate Applicable Regulations, or cause us or any third party to violate any Applicable Regulations.

2.2. We may modify our qualification requirements at any time at our sole discretion. When possible, we will provide advance notice of such changes.

## 3. Portal Accessibility
3.1. Access to the Uranus DEX Portal is provided at our complete discretion. We maintain the right to deny any use of the Uranus DEX Portal without explanation or limit your access to the Uranus DEX Portal at any time.

3.2. You must not publish, upload or distribute through the Uranus DEX Portal any offensive, defamatory, dishonest, or indecent content or any messages intended to manipulate markets, spread false information, or messages that otherwise violate Applicable Regulations, and such actions may result in termination or restrictions on your Portal access.

## 4. Fees and Computations
4.1. Fees for using the Uranus DEX Portal are available on our website.

4.2. You agree to remit all applicable fees related to your use of the Uranus DEX Portal.

4.3. You authorize us to deduct all applicable fees from the Digital Wallet you connect to the Uranus DEX Portal under this Agreement.

4.4. We may adjust our fees periodically in accordance with this Agreement.

4.5. Any calculations performed by Uranus DEX regarding your use of the Uranus DEX Portal are conclusive and binding except in cases of Obvious Error.

## 5. Information Retention
We maintain your personal information to facilitate your continued use of the Uranus DEX Portal, and as required by law including tax and accounting purposes, compliance with anti-money laundering regulations.

## 6. Portal Entry Requirements
6.1. To access the Uranus DEX Portal, you must possess the necessary hardware (such as computer or mobile device) and internet connectivity.

## 7. Exchange Operations
7.1. You acknowledge and agree that when you execute any Exchange with Improper Intent and/or in cases of Obvious Error, Uranus DEX is authorized to cancel/void such Exchange (when possible), take reasonable actions, and treat such Exchange as if it never occurred.

## 8. Protection Measures
8.1. You are responsible for implementing appropriate measures to safeguard your hardware and data from malicious software, viruses, and inappropriate content. Except as mandated by Applicable Regulations, you are responsible for creating and maintaining backup copies of any information stored or transferred through the Uranus DEX Portal. We are not liable for any claims or losses resulting from your failure to comply with this provision.

8.2. You must secure the credentials used to access the Uranus DEX Portal against attacks and unauthorized entry.

8.3. If you suspect a Security Incident, you must ensure we are notified immediately.

## 9. Confidentiality
9.1. Our collection and use of personal information regarding this Agreement and use of the Uranus DEX Portal is governed by our Data Protection Statement (as updated periodically).

## 10. Agreement Modifications
10.1. We may amend this Agreement at any time, and your continued use of the Uranus DEX Portal constitutes acceptance of such changes.

10.2. If you do not wish to accept the changes, please discontinue use of the Uranus DEX Portal. Absent such discontinuation, your continued access or use of the Uranus DEX Portal shall be deemed acceptance of the updated Agreement.

## 11. Discontinuation, suspensions, limitations
11.1. We may at any time modify or discontinue, temporarily or permanently, any aspect or feature of the Uranus DEX Portal.

11.2. When we terminate, suspend, hold or restrict your access to the Uranus DEX Portal:
a. if you have Instructions or Exchanges that are active, they may be closed by you or by us, depending on the circumstances of the termination, suspension, hold, restriction or other action taken;
b. you authorize and grant us the right to deduct costs and fees directly from any assets in the Digital Wallet you connected to the Uranus DEX Portal.

## 12. Proprietary Assets
12.1. All Uranus DEX Intellectual Property shall remain vested in Uranus DEX.

12.2. We grant you a non-exclusive license for the duration of this Agreement to use the Uranus DEX Intellectual Property solely as necessary to enable your access and use of the Uranus DEX Portal for non-commercial personal purposes, in accordance with this Agreement.

## 13. User Proprietary Assets
13.1. You grant us a permanent, irrevocable, royalty-free, worldwide and non-exclusive license to use the User Intellectual Property to the extent necessary to provide you access to the Uranus DEX Portal.

## 14. Restricted activities
14.1. By using the Uranus DEX Portal or conducting any Exchange, you agree not to:
a. violate this Agreement or any contract entered into pursuant to, or in connection with, this Agreement;
b. use the Uranus DEX Portal for any activity which, in Uranus DEX's sole judgment, constitutes behavior designed to control or artificially influence the price of any Tokenized Asset (market manipulation);
c. engage in fraudulent activities, or cause us to suspect your involvement in fraudulent activities or Exchanges;
d. employ any deep linking, web crawlers, bots, spiders or other automated devices, programs, scripts, algorithms or methods to access, obtain, copy or monitor any part of the Portal;
e. introduce any viruses, Trojan horses, worms or other computer programming that may damage or interfere with the Uranus DEX Portal;
f. violate, or attempt to violate, any Applicable Regulations.

## 15. Assurances and guarantees
15.1. You hereby represent and warrant to us, at all times, that:
a. all decisions made regarding this Agreement were based solely and exclusively on your own judgment;
b. you possess full power, authority, and capacity to access and use the Uranus DEX Portal and enter into this Agreement;
c. this Agreement constitutes valid and legally binding obligations, enforceable against you according to their respective terms.

## 16. Technology limitations
16.1. The Uranus DEX Portal is provided "as is" and "as available" without any representation or warranty, whether express or implied, to the maximum extent permitted by Applicable Regulations.

16.2. We may, periodically, suspend access to the Uranus DEX Portal for both scheduled and emergency maintenance.

## 17. Compensation
17.1. You undertake and agree to indemnify us and hold us harmless upon demand against any claims, lawsuits, actions, demands, disputes, allegations, or investigations brought by any third-party, governmental authority, or industry body, and all claims, liabilities, damages, losses, costs, and expenses arising from or connected with:
a. your access to or use of the Uranus DEX Portal;
b. your breach or alleged breach of this Agreement;
c. your violation of any Applicable Regulations;
d. your infringement of any third-party rights.

## 18. Responsibility
18.1. Under no circumstances will our total liability exceed the amount of fees paid by you to Uranus DEX for the specific exchange transaction claimed to have caused the loss.

18.2. You acknowledge and agree that we will not be responsible or liable to you or any other person or entity for any direct or indirect losses (including profit, business or opportunity losses), damages, or expenses.

## 19. Applicable jurisdiction
Unless Applicable Regulations require or provide you with alternative options, this Agreement shall be governed by and interpreted according to the laws of England.

## 20. Conflict Resolution
20.1. Please contact Uranus DEX initially regarding any concerns with the Services. We prefer to address your concerns without formal legal proceedings when possible.

20.2. If the dispute cannot be resolved satisfactorily and you wish to assert a Claim against Uranus DEX, you agree to outline the basis of such Claim in writing as a "Claim Notification," serving as prior notice to Uranus DEX.

20.3. You and Uranus DEX agree that any Claims shall be determined through mandatory final and binding individual (not group) arbitration administered by the London Court of International Arbitration ("LCIA") according to the LCIA Rules currently in force.

## 21. Collective Action Waiver
You and Uranus DEX agree that any Claims shall be brought against Uranus DEX in arbitration on an individual basis only and not as a plaintiff or group member in a purported class or representative action.

## 22. Communication
22.1. For questions, feedback or complaints, contact us through our Support section on our website.

## 23. Terminology
"Applicable Regulations" means all relevant or applicable statutes, laws, rules, regulations, directives, and guidelines governing the provision, receipt or use of the Uranus DEX Portal.

"Tokenized Assets" means digital representations of value or rights transferable and storable electronically using distributed ledger technology or similar systems, including but not limited to cryptocurrencies, stablecoins, and other tokenized assets.

"Improper Intent" means intent or behavior where Uranus DEX reasonably believes or determines potential or actual market manipulation and market abuse has occurred.

"Obvious Error" means any error or omission which is evident or unmistakable, including misquotes or errors in information, sources, official results or pronunciations.

"Security Incident" means any security event affecting you and/or Uranus DEX or the Uranus DEX Portal.

"Agreement" means this service agreement, together with any documents explicitly incorporated by reference, as amended or supplemented periodically.

"Exchange" means the trading, buying, selling, or exchanging of Tokenized Assets.

"Uranus DEX Intellectual Property" means all intellectual property rights owned by or licensed to us and provided to you while enabling access to the Uranus DEX Portal.

"User Intellectual Property" means intellectual property rights owned by or licensed to you, excluding Uranus DEX Intellectual Property.

"Digital Wallet" means the tokenized asset wallet you connect to the portal.
